Agreement For Use Of The Dubai Trade Portal

Welcome to www.dubaitrade.ae. This site is owned and operated by Dubai Trade FZE, a company organised and existing under the laws of United Arab Emirates.

1. User Requirements

1.1 These are the terms and conditions of the web portal of Dubai Trade FZE and its affiliates (collectively referred to here as “Dubai Trade” or “we” interchangeably) located at www.dubaitrade.ae (the "Portal"). These terms and conditions in effect from 19 March 2011 (together referred to as the "Agreement") govern your use of the Portal and your use of any services offered via the Portal and you agree to be bound by them. "You" and "your" refers to the organisation which you have named as the user on the registration form relating to the Portal. You confirm that the individual who has completed the registration process for the Portal is fully authorised to bind your organisation to this Agreement. You will make all your users of the Portal aware of this Agreement and will ensure they comply with its terms at all times.

1.2 Following registration, you will be accepted as a user of the Portal, and you will be permitted to use the Portal. This Agreement governs all your use of the Portal and your use of any services offered via the Portal. If you don’t agree with these terms, then your only recourse is to not use the Portal.

1.3 You can make payments to third party service providers using the “Rosoom ePayment Gateway” by way of credit card, debit card, advance deposit, and the “Rosoom Wallet”, subject to the specific payment method accepted by the relevant third party service provider (and this will be made clear on the relevant third party service provider’s website). Payments to any third party service providers will be subject to the Terms and Conditions of Online Payments Made Using the “Rosoom ePayment Gateway” available at the Portal. For the avoidance of doubt, the Subscription Service fees are solely for the provision by Dubai Trade of the Portal to you and are not for the provision of any kind of financial services or for processing payments (using the “Rosoom ePayment Gateway”) to any third party service providers.

1.4 Dubai Trade may amend this Agreement at any time, and the amended version will be posted on the Portal, and be effective from that date of posting.

2. Subscription Service

2.1 Dubai Trade offers different types of subscription bundles including, for example, weekly, monthly and yearly subscriptions to access services provided by third party service providers (“Subscription Service”) on the Portal. Details of the Subscription Service will be available on the Portal at [insert link]. We may modify the Subscription Service from time to time, including by adding or deleting features, functions and services. We may make changes to the price of the Subscription Service and such change shall be published on the Portal and will be binding on you from the date on which the change is published.

2.2 The initial subscription term will begin on the effective date of your Subscription Service and expire at the end of the period selected during the subscription process (“Initial Subscription Term”). We will notify you of the pending expiration of the Initial Subscription Term within thirty (30) days prior to the date of expiration. Upon receipt of notification, you may renew the Subscription Service for a further period (“Renewal Subscription Term”). The Renewal Subscription Term will be on the current terms and conditions of this Agreement and subject to the renewal pricing provided for in your payment confirmation form. The Initial Subscription Term and any Renewal Subscription Term (collectively “Subscription Term”) will end on the expiration date and cannot be cancelled before its expiration.

2.3 The fees to be paid for your Subscription Service will be made clear to you on the payment confirmation form. You agree to pay the fees at the rates notified to you at the time you purchase your Subscription Service. All payment obligations are non-cancellable and all amounts paid are non-refundable, except as specifically provided for in this Agreement. All fees are due and payable in advance throughout the Subscription Term. Dubai Trade may, in its sole discretion, exempt you from payment of fees and, in this instance, you will not be entitled to a refund of any credits or pre-payments which remain unused at the time of exemption.

2.4 We may suspend your access to all or any part of the Subscription Service upon two (2) days’ notice to you of non-payment of any amount past due. If the Subscription Service is suspended for non-payment, we may charge a re-activation fee to reinstate the Subscription Service.

2.5 When you purchase a Subscription Service, you must provide us with complete and accurate contact information and credit card information (if applicable). You authorise us to charge your credit card for all fees payable at the beginning of the Initial Subscription Term and each Renewal Subscription Term. You further authorise us to use a third party to process payments, and consent to the disclosure of your payment information to such third party. Unless you have paid by cheque, your Subscription Service will only be activated when we have successfully verified your payment, at which point we will provide you with access to your Subscription Service. If we do not receive payment authorization or any authorization is subsequently cancelled, we may immediately terminate or suspend your access to your Subscription Service. If you have paid by cheque, then we will activate your Subscription Service on the date of the cheque and if the cheque fails to clear then we may immediately terminate or suspend your access to the Subscription Service unless you pay us with a valid alternative payment method.

2.6 Dubai Trade may terminate your access to your Subscription Service for: (i) a breach of this Agreement; (ii) unauthorised use of the Subscription Service; or (iii) misconduct including, without limitation, conduct having an adverse impact on the reputation of Dubai Trade. If your use of the Subscription Service is terminated by Dubai Trade pursuant to this clause 2.6, you will not be entitled to receive a refund of any credits or pre-payments which remain unused at the time of such termination.

2.7 No refunds, cancellations, or changes to the Subscription Service will be allowed, unless otherwise agreed in writing by Dubai Trade.

2.8 You are not allowed to sublicense, assign, share, sell, rent, lease, or otherwise transfer your Subscription Service.
